These Terms of Service ("Terms") govern your access to and use of the website northfishusa.info (the "Site") operated by North Fish USA Inc. ("North Fish USA," "we," "our," or "us"), a smoked fish manufacturing company incorporated in the State of Delaware with its principal place of business at 200 Centerpoint Blvd, New Castle, DE 19720.
By accessing or using our Site, submitting an inquiry form, or engaging with us through any communication channel referenced on the Site, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not use the Site.
1. About Our Business
North Fish USA Inc. is a wholesale smoked fish manufacturer. Our Site serves as an informational and inquiry platform for prospective and existing wholesale customers, including distributors, retailers, food service operators, and private label partners.
The Site is not an e-commerce store. No products are sold directly through the Site, and no pricing is displayed on the Site. All product orders, pricing, payment terms, delivery schedules, and other commercial terms are established through direct communication with our sales team and are governed by separate written agreements between you and North Fish USA.
2. Use of the Site

You may use the Site to view information about North Fish USA, our products, certifications, and services; submit wholesale, private label, or general business inquiries; and access our contact information.

Certain wholesale customers may receive access to a separate ordering portal with live inventory and pricing. Access to that portal is governed by its own terms provided at account creation. These Terms apply to the public-facing Site (northfishusa.info) only.
3. Inquiry Forms and Communications
3.1 Form Submissions
When you submit an inquiry through our Site, you represent that all information you provide is accurate, complete, and current. Submitting an inquiry does not create a binding contract, obligation to purchase, or guarantee of product availability or pricing.
3.2 SMS/Text Message Consent
Our inquiry form includes an optional SMS consent checkbox. By checking this box and submitting the form, you consent to receive transactional text messages from North Fish USA Inc. Full details about our SMS practices are in our Privacy Policy, Section 3. Key points:

4.2 No Pricing on the Site
North Fish USA does not display pricing on the Site. All pricing is provided directly to qualified wholesale buyers and is subject to product type, order volume, packaging, delivery logistics, and market conditions. Nothing on the Site constitutes a binding offer to sell at any specific price.
4.3 Product Availability
Products listed on the Site may not be available at all times. Availability and catalog composition are subject to change without notice.
4.4 Certifications
North Fish USA holds OU Kosher certification from the Orthodox Union, is FDA inspected, and operates under an approved HACCP plan. These certifications are current as of the date of this document and may be independently verified through the relevant certifying bodies.
5. Intellectual Property
5.1 Our Content
All content on the Site — including text, graphics, logos, photographs, images, page layouts, and design elements — is the property of North Fish USA Inc. or its content suppliers and is protected by United States and international intellectual property laws.
5.2 Trademarks
"North Fish USA," the North Fish USA logo, and any other product or service names or logos displayed on the Site are trademarks of North Fish USA Inc. You may not use any of these marks without our prior written permission.
5.3 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for the purpose of evaluating a potential wholesale business relationship with us. This license does not include the right to copy, modify, distribute, or create derivative works from any Site content.

The Site may contain links to third-party websites, including oukosher.org for certification verification. We do not control or assume responsibility for the content or practices of any third-party websites. Your use of third-party websites is at your own risk.
7. Disclaimer of Warranties

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT CONTENT IS ACCURATE OR CURRENT, OR THAT THE SITE IS FREE OF VIRUSES OR HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTH FISH USA INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00 USD).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IF THESE LAWS APPLY TO YOU, SOME LIMITATIONS MAY NOT APPLY AND YOU MAY HAVE ADDITIONAL RIGHTS.
9. Indemnification
You agree to indemnify and hold harmless North Fish USA Inc. and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any applicable law.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
10.2 Jurisdiction
Any legal action arising from these Terms shall be brought exclusively in the state or federal courts in New Castle County, Delaware. You consent to the jurisdiction of such courts.
10.3 Informal Resolution
Before filing any legal action, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
11. Modifications
We may modify these Terms at any time. Changes take effect when posted with an updated "Last Updated" date. Your continued use of the Site after modifications constitutes acceptance. If you do not agree, discontinue use of the Site.
12. Severability
If any provision of these Terms is found unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall remain in full force.
13. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement regarding your use of the Site. These Terms do not govern separate commercial agreements (purchase orders, supply contracts, private label agreements) between you and North Fish USA.
14. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
